Buyer Agreement / Terms for Buyers

These Buyer Terms (“Buyer Terms”) govern your purchase and use of Items from sellers on ConstructionPartsNetwork.com (the “Platform”), operated by by NetCom Services, LLC, a Nebraska limited liability company (“NetCom,” “we,” “us,” or “our”). By creating an account or purchasing through the Platform, you agree to these Buyer Terms and to the Terms of Use (hereby incorporated by reference). 1. Marketplace Role - The Platform is a B2B marketplace connecting business buyers (“Buyers”) with independent sellers (“Sellers”). - NetCom facilitates transactions as a neutral platform. Sellers remain solely responsible for listing, describing, pricing, shipping, warranting, and supporting items. - Buyers agree to conduct due diligence before purchasing and agree to address post-sale issues directly with Sellers. 2. Eligibility - Buyers must be at least 18 years old. - Buyers must represent a legitimate business and be authorized to bind it. - Buyers must provide accurate business information and keep it current. 3. Orders; Payment Authorization - By placing an order, you authorize Sellers (via Stripe) to charge Buyers selected payment method for the order amount, taxes, shipping, and related charges. - Buyers consent to Stripe's processing and storage of payment information as needed to complete the transaction and handle refunds or chargebacks. 4. Payments (Stripe) Payment Processing via Stripe. Payments on the Platform are processed by Stripe. Your payment is subject to Stripe's processes and policies. For information about how Stripe handles your data, see the Stripe Privacy Policy (https://stripe.com/privacy). - Application Fee. NetCom may charge a Platform application fee as part of the transaction; this fee is disclosed at checkout. - Processor Fees. Payment processor fees retained by Stripe are not refundable even if your order is refunded (subject to Stripe's policies). - Acquirer Disclosure. Stripe's acquiring bank disclosures are available at https://stripe.com/legal/acquirer-disclosure. 5. Refunds; Returns; Disputes - Seller-Managed: All refunds, returns, exchanges, and cancellations are handled directly by Sellers under the Sellers' posted terms and applicable law. NetCom does not mediate disputes or issue refunds on a Sellers' behalf. - Platform Fee on Full Refunds: If Sellers issue a full refund and it is successfully processed through Stripe, NetCom will refund the associated Platform application fee to your original payment method,. - Chargebacks: If you initiate a chargeback, Stripe and the card networks manage the process. Buyers agree to cooperate and provide accurate information. 6. Shipping; Risk of Loss; Inspection - Sellers are solely responsible for shipping, delivery, risk of loss, and post-sale support. - Inspect items promptly upon receipt and notify the Sellers of any issues within the time stated in the Sellers' terms. 7. Prohibited Conduct; Reviews - Buyers must comply with the Acceptable Use Policy. - Reviews must be truthful and relevant; Buyers are prohibited from misleading or abusive posts, reviews, or messages. 8. Compliance - Buyers agree to comply with all applicable laws and regulations related to your purchase, import/export, sanctions, and business use. 9. Disclaimers; Liability - THE PLATFORM AND LISTINGS ARE PROVIDED “AS IS.” NETCOM DOES NOT CONTROL NOR GUARANTEE THE QUALITY, CONDITION, SAFETY, LEGALITY, AVAILABILITY, ACCURACY, OR DELIVERY OF ANY ITEMS OR LISTINGS. - To the maximum extent permitted by law, NetCom is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits. NetCom's maximum total liability to Buyer shall not exceed the Platform application fees paid to NetCom in the twelve (12) months before the event or $1,000, whichever is greater. 10. Termination NetCom, at NetCom's sole discretion, may suspend or terminate Buyers' account or purchasing ability for policy violations, legal requirements, risk, or to protect Users and the Platform. 11. Governing Law; Venue These Buyer Terms are governed by the laws of the State of Nebraska, without regard to conflict of law principles. You agree that any dispute arising under or relating to these Buyer Terms will be resolved exclusively in the state or federal courts located in Lancaster County, Nebraska, to the extent permitted by applicable law. 12. Entire Agreement These Buyer Terms, the Terms of Use, and incorporated policies are the entire agreement between you and NetCom regarding purchases made through the Platform.
